These Terms & Conditions (“Terms”) govern the access and use of the mobile application, website, and services (“Platform”) operated by Surepath Systems India Private Limited (“Surepath”, “Company”, “we”, “our”, or “us”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Eligibility

  • Users must be 18 years or older to use the Platform

  • By using the Platform, you confirm that the information provided is accurate and complete

  • Vendors and delivery partners must comply with applicable Indian laws, licenses, and regulations

3. Platform Services

Surepath provides a technology platform that:

  • Connects users with restaurants/vendors

  • Facilitates food ordering and delivery

  • Enables payment processing through third-party gateways

Surepath does not prepare or manufacture food and is not responsible for food quality beyond platform facilitation.

4. User Accounts

  • Users must maintain confidentiality of login credentials

  • Surepath is not liable for unauthorized access due to user negligence

  • We reserve the right to suspend or terminate accounts for violations

5. Orders & Payments

  • Orders placed through the Platform are binding

  • Prices, menu items, and availability are set by vendors

  • Payments are processed through secure third-party payment gateways

  • Surepath is not responsible for payment failures caused by banks or gateways

6. Cancellations & Refunds

  • Cancellation and refund policies are governed by Surepath’s Cancellation & Refund Policy

  • Refund eligibility depends on order status, vendor acceptance, and delivery stage

  • Refunds, if applicable, will be processed within the stipulated timelines

7. Vendor Responsibilities

Vendors agree to:

  • Provide accurate menu, pricing, and availability

  • Ensure food quality, hygiene, and compliance with FSSAI regulations

  • Fulfill orders in a timely and professional manner

  • Resolve food-related complaints in coordination with Surepath

8. Delivery Partner Responsibilities

Delivery partners agree to:

  • Deliver orders promptly and safely

  • Maintain professional conduct with customers and vendors

  • Follow traffic laws and safety regulations

  • Handle food packages responsibly

9. User Responsibilities

Users agree to:

  • Provide accurate delivery information

  • Be available at delivery location

  • Not misuse the Platform or engage in fraudulent activity

  • Treat delivery partners and vendors respectfully

10. Intellectual Property

All content on the Platform including:

  • Logos

  • Trademarks

  • Designs

  • Software

  • Text and graphics

are the exclusive property of Surepath Systems India Private Limited and may not be used without written permission.

11. Prohibited Activities

Users shall not:

  • Use the Platform for unlawful purposes

  • Post false, misleading, or defamatory content

  • Attempt to disrupt platform operations

  • Reverse engineer or copy platform technology

12. Limitation of Liability

To the maximum extent permitted by law:

  • Surepath is not liable for food quality, quantity, or hygiene issues

  • Surepath is not liable for delivery delays due to external factors

  • Surepath’s total liability shall not exceed the order value

13. Indemnification

Users, vendors, and delivery partners agree to indemnify and hold Surepath harmless against any claims, losses, or damages arising from:

  • Breach of these Terms

  • Violation of laws

  • Misuse of the Platform

14. Suspension & Termination

Surepath reserves the right to:

  • Suspend or terminate access without prior notice

  • Remove vendors or delivery partners for non-compliance

  • Take legal action if required

15. Force Majeure

Surepath shall not be liable for failure or delay caused by events beyond reasonable control, including:

  • Natural disasters

  • Government restrictions

  • Network failures

  • Strikes or pandemics

16. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.
Courts located in Chennai, Tamil Nadu shall have exclusive jurisdiction.

17. Modifications to Terms

Surepath reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
